Terms of business

These terms apply to all the work we do for you: websites, systems, brand work and monthly plans. With your written quote, they make up our agreement.

Tektura is a trading name of Daniel Hutchins, a sole trader. Each section starts with the short version; the full wording under it is what counts.

Who we are and how this agreement works

In shortYour agreement is with Daniel Hutchins, trading as Tektura. It is made of your written quote and these terms.

  1. 1.1 Tektura is a trading name of Daniel Hutchins, a sole trader, 58 Garfield, Langford, Biggleswade, Bedfordshire SG18 9NG. “We” and “us” mean Tektura; your contract is with Daniel Hutchins. “You” means the person or organisation named on the quote (for a band or club that isn’t a company, see 1.4).
  2. 1.2 Our agreement is your written quote together with these terms. If the quote and these terms disagree, the quote wins.
  3. 1.3 You accept the agreement by accepting the quote in your client area, or by telling us in writing (an email is enough). If you accept by email, we confirm by email, and if section 16 applies to you we ask in that email whether you want us to start within your 14 days. Nothing is agreed until one of those has happened.
  4. 1.4 If you accept on behalf of a band, charity, club, school, business or other organisation, you confirm that you are allowed to agree to this on its behalf. Most bands and clubs are not companies and can’t make agreements in their own name. If yours is one of these, the agreement is with the person who accepts it, on behalf of its members, so please make sure your committee has agreed.
  5. 1.5 A quote is open for 30 days unless it says otherwise.
  6. 1.6 Some parts of these terms depend on who is buying. When you accept a quote, you tell us whether you are accepting for a company, charitable company or CIO, school, council or other business; for a band, club, society or group that isn’t a company; or for yourself, for your own private use. If you are one of the last two, section 16 gives you 14 days to cancel. Nothing in these terms takes away your rights as a consumer.
2

What we will do

In shortWe build what the quote describes, with reasonable skill and care.

  1. 2.1 We will design and build the website, system or brand work described in the quote, to the page list and specification set out there, using reasonable skill and care. Anything not named in the quote is not included. That’s what lets us give you a fixed price.
  2. 2.2 Timings in the quote are our honest estimate. They depend on the things we need from you (section 5) arriving when agreed.
  3. 2.3 Anyone else who works on your project, including specialists such as photographers, illustrators or copywriters, has signed over their copyright in what they make to us in writing, so that it can pass to you under section 7. We remain responsible to you for their work.
3

Fees and payment

In shortHalf to start and half before launch, or spread monthly. Invoices are due within 14 days.

  1. 3.1 The fee is stated in the quote, and it is the full amount you pay for the work described there. Anything extra is only charged if you ask for it and we have agreed the price first (section 6). Unless the quote says otherwise, it is 50% on acceptance and the rest before launch. We aren’t VAT registered, so there is no VAT to add. If that changes, work already agreed stays at the price quoted, and any new quote will show the VAT.
  2. 3.2 We begin work once the deposit is paid (if section 16 applies to you, see 16.2). The balance is due before the site goes live, and the site is published once it is paid. For brand work, the final artwork is handed over once the balance is paid.
  3. 3.3 Paying monthly. Unless the quote says otherwise, you can instead pay a quarter of the fee to start and the rest in up to 11 monthly payments of the same amount, with any rounding in the first payment, all due within 12 months of the day you accept the quote. There is no interest and no charge for this, and the total is the same. Whatever the quote says, a plan never has more than 11 monthly payments, and they are all due within 12 months of the day you accept the quote. The site goes live when the build finishes, and ownership passes to you with the final payment (section 7). If a monthly payment is more than 30 days late, we’ll tell you in writing. If it’s still unpaid 14 days after that, the rest of the fee becomes due.
  4. 3.4 Something in return. Where a quote asks for something from you in return, such as a short case study, a line we can quote, permission to show the site or an introduction to another group we could help, it says so, and we agree it in writing before we start. You can ask us to take any of it out before you accept, and the quote will change to match.
  5. 3.5 Invoices are payable within 14 days of the invoice date, by bank transfer to the account shown on the invoice. We will never ask you to pay into a different account by email. If you get a message that says otherwise, don’t reply to it: before paying, check the bank details in your client area, or start a new email to [email protected].
  6. 3.6 If an invoice is unpaid 14 days after it is due, we may pause work, and pause a monthly plan, after telling you in writing. The launch date moves by the time lost.
  7. 3.7 If you are buying as a business, or for a public body such as a council, late payments may carry interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998. We don’t charge interest to anyone else.
  8. 3.8 The deposit reserves time in our schedule that we then turn other work away for. If the work ends early, we keep the part of it that covers what you owe under 15.2 (work done, and usually booked time we can’t fill), and refund the rest. If section 16 applies to you, it applies instead.
4

Design changes and sign-off

In shortWe make changes from your feedback as we go. Sign-off moves the work to the next stage.

  1. 4.1 We share the work as it develops and make reasonable changes from your feedback as we go, within what the quote describes. If the changes you ask for go well beyond that, we will tell you, and agree any extra cost with you in writing first (section 6). Please collect comments from everyone who has a view before sending them, so we work from one set of feedback.
  2. 4.2 When you approve a design, a page or a logo (“sign-off”), the next stage is built on it. Changes to something already signed off are quoted separately.
  3. 4.3 If we send you something to approve and hear nothing for 10 working days after a reminder, we may treat it as approved so the work can carry on. We will say so when we remind you. If section 16 applies to you, treating something as approved only keeps the work moving: you can still ask for reasonable changes to it before launch, within what the quote describes, and you don’t pay extra for them.
5

What we need from you

In shortYour words, pictures and answers on time, content that is yours to use and one person who can approve.

  1. 5.1 The timescale assumes you will provide all text, images, logos and other content by the date we agree; respond to questions and review requests within 5 working days; and name one person with authority to approve work on your behalf.
  2. 5.2 If content or approvals are late, the launch date moves. If a project stalls on your side for more than 60 days, we may invoice for the work completed to that point and reschedule the rest when you’re ready.
  3. 5.3 You confirm that anything you give us to use (words, photographs, logos, music, video, data) is yours to use or properly licensed, is accurate and is lawful: it doesn’t infringe anyone else’s rights and isn’t defamatory.
  4. 5.4 Where we need access to your accounts (domain, email, payment services), you give it through proper user access or a shared password manager, and you can remove it at any time.
6

Changes to the scope

In shortAnything not in the quote is quoted in writing first. Nothing extra is done or charged without your say-so.

  1. 6.1 If you want something that isn’t in the quote, tell us and we will quote for it in writing before doing any of it. No additional work is carried out, and no additional cost incurred, without your agreement in writing first.
7

Ownership, credit and trade marks

In shortOnce the final payment is made, the site and any logo we design for you are yours. Your domain is always yours.

  1. 7.1 You own your domain name, and it is registered in your name. Unless you would rather host your site somewhere else, we host it on our own Cloudflare account under a monthly plan (section 8), and the domain’s settings, which point your address at the site, are kept there with it. If you would like us to look after the domain itself, registering and renewing it for you, we can do that for an agreed price, still in your name. Whenever you ask, we move the settings, and the domain if we look after it, to you or to whoever you choose.
  2. 7.2 The website. On final payment, we assign to you the copyright in the finished website: its design, the code we have written for you and the content we have made for it. When the final payment reaches us, we send you a short signed note confirming this. Until then, it remains ours, and you have permission to use it while payments are up to date. The shared tools in 7.3 and the outside parts in 7.6 are covered by those clauses instead.
  3. 7.3 Shared tools. Some parts are tools we use on every site, such as the admin screen and the visit counter. For those you get a licence that is permanent, free and can’t be withdrawn. You, or anyone you choose to work with, can use, change, copy and move them with your site, for as long as the site exists. We keep ownership only so we can keep using and improving them for other clients; it gives us no right to take anything back or charge for it later.
  4. 7.4 Brand work. On final payment, we assign to you the copyright in the final logo and brand artwork you have chosen, confirm it in a signed note as in 7.2, and hand over the files: vector and image versions for print and screen, and the written brand guide. Designs and ideas you didn’t choose stay ours.
  5. 7.5 Trade marks. We design every logo from scratch and never knowingly copy anyone else’s. We don’t check whether a name or logo can be registered as a trade mark, or whether someone else already has rights in something similar. If that matters to you, search the Intellectual Property Office’s records, or ask a trade mark attorney, before you use it widely.
  6. 7.6 Third-party parts (fonts, libraries, payment services, stock images) remain the property of their owners and are licensed to you under their own terms. Your quote lists each one that has a cost, with what it costs and who pays it. We won’t add one that isn’t in your quote without your agreement in writing.
  7. 7.7 We keep the right to reuse general techniques, code patterns and know-how from the project. This does not include anything specific to your business.
  8. 7.8 We may show the work, while it is being built and once it is finished, on our website, in our social media posts and in our other marketing, and describe how it was built, unless we agree otherwise in writing. We won’t show anything confidential, or personal details of your members or customers.
  9. 7.9 A small linked credit, “Website by Tektura”, appears in the site footer.
8

Hosting, monthly plans and other services

In shortYour hosting and services are your accounts, unless you take a monthly plan. Care covers small changes to what’s already on your site, and anything bigger is quoted first. A plan can be ended by either of us with 30 days’ notice.

  1. 8.1 Hosting, email, payment processing and any other outside services are your accounts and your costs, unless the quote says we host the site under a monthly plan. We are not responsible for the performance, availability, pricing or terms of services we do not control.
  2. 8.2 Plans come in two kinds, each at the monthly price in your quote. Hosting: hosting, backups and updates, and you make your own changes. Care: the same, plus small changes from us to what is already on your site. These include updating text, photos, prices, opening times or contact details; adding or updating events, news posts, fixtures or sponsor logos; small layout fixes, such as moving something or changing a heading; and settings, such as who receives your form emails. You can ask for changes by email or through your client area.
  3. 8.3 Care does not include new pages, new features or redesigning a section. We quote for these as new work. Care covers a reasonable amount of small changes each month. If a month’s requests go well beyond that, we will tell you before doing more, and agree a price with you first, at our hourly rate, which is shown in your quote.
  4. 8.4 We reply to requests within a working day, and a site that is down or has been broken into is treated as urgent.
  5. 8.5 Plans are billed monthly in advance, and either of us may end one with 30 days’ notice. You can give notice with the End plan button in your client area, or by email. We will give you at least 30 days’ notice of any change in price, so you can end the plan before it applies.
  6. 8.6 We take reasonable care to keep sites we host available, backed up and up to date, but we can’t promise they will never be unavailable, and we are not responsible for outages at the services we host on.
  7. 8.7 When a plan ends, we give you a copy of the site and its content and help move it to wherever you choose. Help beyond handing over the files is charged at our hourly rate.
  8. 8.8 We may suspend a site we host, after telling you, if a plan’s invoice is more than 30 days overdue. We may take a site or part of it offline at once, and tell you as soon as we can, if it is being used for anything unlawful, has been broken into or is putting other people or systems at risk.
9

Launch, fixes and support

In short30 days of free fixes after launch. After that, a fault in our own work is still put right free, and other work is on a monthly plan or our hourly rate.

  1. 9.1 For 30 days after launch we fix faults in what we built, free. Report anything that isn’t working and we will put it right at no charge. It covers faults only.
  2. 9.2 After 30 days, work not covered by your plan is charged at our hourly rate, which is shown in your quote.
  3. 9.3 After the 30 days, if something doesn’t work because we didn’t build it with reasonable skill and care, we still put it right free. The hourly rate is for changes, and for faults with another cause, such as an outside service changing or an edit made through your admin screen. If you are buying for your own private use, this is on top of your legal rights (section 16).
10

Running your site

In shortOnce the site is live, what it says and sells, and how you use it, is up to you.

  1. 10.1 You are responsible for what your site says and sells, and for running it lawfully: for example your own privacy notice, any cookie consent your site needs, the terms your customers buy tickets, products or memberships under, refunds, age limits, VAT and the accuracy of prices and information. We can help write these, but they remain yours.
  2. 10.2 Keep your logins private and remove access for anyone who leaves. Changes made through your admin screen are yours.
  3. 10.3 Where your site takes payments, the payment service (for example Stripe) holds the card details and pays you directly. You are the seller, and the agreement with that service is between you and them.
  4. 10.4 We won’t build, host or publish anything we reasonably believe to be unlawful, and we may remove it from a site we host.
  5. 10.5 Please keep your own copies of content you supply. We also keep backups of sites we host, so we can restore them.
11

What we guarantee

In shortCareful work, tested on current browsers and phones. We can’t promise search rankings or results.

  1. 11.1 We will build the site with reasonable skill and care, and test it on current versions of the major browsers on computers, tablets and phones.
  2. 11.2 We build with security in mind and keep the sites we look after up to date. No site can be made completely safe from attack, and we are not responsible for harm caused by other people breaking the law, provided we have taken reasonable care.
  3. 11.3 We can’t guarantee that the site will be free of every fault, that it will work on out-of-date browsers or devices, that outside services will keep working or that it will reach any particular search ranking, number of visitors or sales. A fault in our own work is still ours to put right (9.3).
  4. 11.4 If you are a public body that must meet the public sector accessibility regulations, such as a council or a school, tell us before you accept the quote. We will build to WCAG 2.2 level AA and help you write your accessibility statement, and the quote will say so.
12

Limits on our liability

In shortIf you are buying for a company or other business, what we can be asked to pay is capped at the price in your quote, or what you have paid under it in the last 12 months if that is more, and some kinds of loss are excluded. The law’s protections for consumers still apply.

  1. 12.1 Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or for anything else the law does not allow to be limited.
  2. 12.2 If you are buying for a company, charitable company or CIO, school, council or other business:
    1. 12.2.1 our total liability to you under or in connection with the agreement, whether in contract, negligence or otherwise, is limited to the price in the quote in question, or, if it is more, the total fees you have paid us under that quote in the 12 months before the claim;
    2. 12.2.2 we are not liable for loss of profit, income, business, goodwill, data (other than data we agreed to back up for you) or anticipated savings, or for any indirect or consequential loss;
    3. 12.2.3 any claim must be brought within 2 years of the day you knew, or ought reasonably to have known, about it; and
    4. 12.2.4 you will cover our reasonable costs and losses if someone makes a claim against us because of content you supplied, instructions you gave us or the way you run your site (section 10), unless the claim arises from our own fault.
  3. 12.3 If you are buying for your own private use, or for a band, club, society or group that isn’t a company, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking this agreement or failing to use reasonable care and skill. We are not responsible for loss that was not foreseeable, and we supply our services for private and non-commercial use only.
13

Confidentiality

In shortWhat you tell us in confidence stays confidential.

  1. 13.1 We will keep confidential anything you tell us that is plainly not public, and use it only for your project. You will do the same for anything confidential about us, such as our prices to you and the way our systems work.
  2. 13.2 This does not apply to anything that is already public, that we are required by law to disclose or that you agree we can share.
14

Personal data

In shortWe follow UK data protection law. When we look after your site, we only use your visitors’ and members’ details as you instruct.

  1. 14.1 How we use your own details, as a client, is set out in our privacy notice.
  2. 14.2 When we build, host or look after a site or system that holds personal data about your visitors, members, customers or ticket buyers, you are the controller of that data and we are your processor. The subject, length, nature and purpose of the processing are those needed to build, host, maintain and support what the quote describes; the types of data are those your site collects (usually names, contact details, orders, bookings and memberships); and the people concerned are the people who use your site. This can include children, such as junior members, and, if your site asks for them, health or other sensitive details. Tell us before your site collects either.
  3. 14.3 As your processor, we will:
    1. 14.3.1 use the data only on your documented instructions, which include this agreement and what you ask of us in writing, and tell you if we think an instruction breaks data protection law;
    2. 14.3.2 make sure anyone working on it is bound to keep it confidential;
    3. 14.3.3 take appropriate technical and organisational measures to keep it secure;
    4. 14.3.4 use only the sub-processors listed in our privacy notice (currently Cloudflare, for hosting, storage and email; Resend, for sending email; Microsoft, for our backup copies; and GitHub, part of Microsoft, for the code and published content of your site), give you 30 days’ notice of any new one so you can object, and hold them to the same data protection obligations;
    5. 14.3.5 help you respond to people exercising their rights, and with your own security, breach and impact-assessment duties, as far as we reasonably can;
    6. 14.3.6 tell you without undue delay, and within 48 hours of becoming aware, if we have a personal data breach affecting your data;
    7. 14.3.7 when the work or plan ends, delete or return the data as you choose within 30 days, unless the law requires us to keep it. This includes your site’s visit counts: when we hand the site over we take our visit counter out of it, we stop accepting counts from your site when your plan ends, and we delete the counts we hold within 30 days. Copies in our backups are deleted as those backups expire, within 12 months, and are kept secure and not used in the meantime;
    8. 14.3.8 give you the information you reasonably need to show that these obligations are met, and allow for audits by you or an auditor you appoint on reasonable notice; and
    9. 14.3.9 only transfer the data outside the UK where data protection law allows it, for example to a country or a certified US company covered by UK adequacy regulations, or under the ICO’s international data transfer agreement or addendum. Where each sub-processor holds data, and on what basis, is in our privacy notice.
  4. 14.4 You confirm that you have a lawful basis for the data your site collects, and that your site tells people how it is used. Where your site has our visit counter, its privacy page must say that visits are counted and carry the “Stop counting” button we give you. We add both when we build the site; if you change that page, keep them. When you send us pictures or details of children, you confirm you have the permission you need from a parent or guardian.
  5. 14.5 Help beyond what is reasonable, such as extensive audits, is charged at our hourly rate.
15

Ending the agreement

In shortYou can end the work at any time in writing. We can end a monthly plan with 30 days’ notice, and a build only for the reasons in 15.1. You pay for what has been done and booked time we can’t fill, and we refund the rest. Once everything owed is paid, we hand over what is finished.

  1. 15.1 You may end the agreement at any time by telling us in writing. We may end it by telling you in writing: a monthly plan with 30 days’ notice (8.5), and a build only if something outside our control (18.2) means we can’t finish it. Either can also be ended at once for one of the reasons in 15.3.
  2. 15.2 Whoever ends it, you pay for the work done up to that date and for booked time we can’t fill with other work, and we refund anything you have paid beyond that, taking what you owe from the deposit first. If we end it because you have broken these terms, you also pay our reasonable costs caused by that. If we end a build because of something outside our control (18.2), you pay only for the work done, and we refund any part of the fee covering work we have not done and hand over what is finished. If section 16 applies to you, it applies instead.
  3. 15.3 We may end the agreement at once if you don’t pay an invoice within 14 days of a written reminder, if you seriously break these terms and don’t put it right within 14 days of our asking, if you ask us to do something unlawful or if anyone acting for you is abusive or threatening towards us.
  4. 15.4 When the agreement ends, and once everything owed has been paid, we hand over what has been completed.
  5. 15.5 Anything owed, and sections 3, 7, 12, 13, 14, 16, 17 and 18, continue after the agreement ends.
16

Your right to cancel

In shortIf you are buying for yourself, or for a band or club that isn’t a company, you have 14 days to change your mind, and the law’s protections for consumers always apply.

  1. 16.1 This section applies if you are buying for your own private use, or for a band, club, society or group that isn’t a company. You can cancel within 14 days of accepting the quote, or of agreeing a monthly plan if you take one up later, for any reason, and we will refund what you have paid within 14 days of your telling us.
  2. 16.2 We won’t start work within those 14 days unless you ask us to. You can ask with the tick box when you accept the quote in your client area, or, if you accept by email, by replying to our confirmation. If you do ask, and then cancel, we will charge for the work done up to the point you cancel, and refund the rest of what you have paid. Once the work is complete, the right to cancel ends.
  3. 16.3 To cancel, tell us clearly that you want to cancel, in any way: for example by emailing [email protected], writing to us at the address in 1.1 or telling us through your client area. It helps if you give your name and the date you accepted the quote. You can use the cancellation form at the end of these terms if you like, but you don’t have to. Your client area and the email confirming your acceptance have a copy with your details filled in.
  4. 16.4 If you cancel after the 14 days, you pay for the work done and any costs we can’t recover, and nothing more.
  5. 16.5 Nothing in these terms affects your legal rights as a consumer. For information about your rights, contact Citizens Advice.
17

Complaints and disputes

In shortTell us first. We reply within 5 working days and will try hard to put things right before anyone goes further.

  1. 17.1 If you are unhappy with anything we have done, email [email protected]. We will reply within 5 working days and aim to have it put right, or to have explained what we will do, within 14 days.
  2. 17.2 If we can’t agree, we will suggest mediation, with a mediator we agree on, sharing the mediator’s fee. Mediation is your choice. It doesn’t affect your right, or ours, to go to court, whoever you are buying for.
  3. 17.3 If section 16 applies to you and we can’t settle your complaint, we will tell you in writing whether an alternative dispute resolution body could deal with it, with its name and website, and whether we agree to use it.
18

General

In shortThe small print that holds the rest together.

  1. 18.1 Independent. Nothing here makes either of us the other’s employee, partner or agent.
  2. 18.2 Events outside our control. Neither of us is responsible for delay or failure caused by something outside our reasonable control, such as serious illness, an outage at a service we depend on or severe weather. We will tell each other as soon as we can and do what we reasonably can to keep things moving.
  3. 18.3 Notices. Notices under this agreement can be sent by email to the addresses on the quote. Formal legal documents for us should be sent to our address for service, which is shown in 1.1 at the top of these terms.
  4. 18.4 Passing it on. Neither of us may pass the agreement to someone else without the other’s written agreement, except that we may pass it to a company we set up to carry on this business, after telling you. If you are buying for your own private use and don’t want that, you can end the agreement when we tell you, and we refund any part of the fee covering work we have not done.
  5. 18.5 Other people. Only you and we can enforce this agreement. No one else has rights under it under the Contracts (Rights of Third Parties) Act 1999.
  6. 18.6 If one part fails. If a court decides any part of these terms can’t be enforced, the rest still applies.
  7. 18.7 Not enforcing. If either of us doesn’t insist on something straight away, that doesn’t stop us insisting on it later.
  8. 18.8 Whole agreement. The quote and these terms are the whole of what we have agreed, and replace anything discussed beforehand. Nothing here limits liability for anything said fraudulently.
  9. 18.9 Changes. Any change to your agreement must be in writing and agreed by both of us. If we update these terms, the new version applies to quotes accepted after it is published; work you have already agreed keeps the version you accepted.
  10. 18.10 Law. These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are buying for your own private use and live in Scotland or Northern Ireland, you can also bring proceedings in your local courts.
